ST. CHARLES, Mo.--(BUSINESS WIRE)--Feb. 28, 2007--American Railcar Industries, Inc. (NASDAQ: ARII) ("ARI") announced today that it completed the sale of $275,000,000 aggregate principal amount of 7.5% senior notes due 2014. Due to positive market conditions, ARI increased the offering from its previously announced $250,000,000 aggregate principal amount to $275,000,000.
The notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and were offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States in accordance with Regulation S under the Securities Act. Unless so registered, the notes may not be offered or sold in the United States or to U.S. persons except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
ARI intends to use the net proceeds of this offering for identified capital expenditure plans and general corporate purposes, including capital expenditures, strategic transactions and working capital.
